These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Justivise Advisory Corp., a corporation registered in British Columbia, Canada with VAT number 948210352 RT 0001 ("Company," "we," "us," or "our"). By accessing or using our website, services, or engaging with our dispute resolution and advisory offerings, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you must discontinue use of our services immediately.
Justivise Advisory Corp. provides dispute resolution, mediation, arbitration, and advisory services ("Services"). Our Services are designed to help parties resolve conflicts, clarify disputes, and achieve fair outcomes. All Services are provided on a confidential basis unless otherwise agreed in writing. We do not provide legal advice, and clients should consult with qualified legal counsel regarding their specific circumstances.
Clients agree to pay all fees associated with our Services as outlined in our engagement agreement or fee schedule. Fees may be calculated on a hourly, flat-fee, or project-based basis. Payment terms are net 30 days unless otherwise specified in your engagement letter. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Clients are responsible for all costs associated with their participation in dispute resolution proceedings, including travel, documentation, and third-party services, unless otherwise agreed in writing. We reserve the right to suspend Services if invoices remain unpaid for more than 30 days beyond the due date.
All communications, documents, and information shared with Justivise Advisory Corp. in connection with our Services are confidential. To the maximum extent permitted by law, we maintain client privilege and do not disclose information without explicit written consent, except where required by law or court order.
Clients agree to maintain the confidentiality of all proceedings, communications, and settlement agreements arising from our Services. Violation of confidentiality provisions may result in legal liability and potential termination of Services.

To the maximum extent permitted by applicable law, Justivise Advisory Corp. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use our Services, even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the fees paid by the Client in the 12 months preceding the claim.
We do not guarantee any specific outcome, settlement, or resolution of disputes. Results depend on numerous factors, including the cooperation of all parties, availability of evidence, and applicable legal frameworks.
Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or free of viruses or harmful components.
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any legal action or proceeding relating to these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, and both parties consent to the personal jurisdiction and venue of such courts.
Either party may terminate Services with written notice. Justivise Advisory Corp. reserves the right to terminate Services immediately if the Client engages in fraudulent, threatening, or illegal conduct, or persistently violates these Terms.
Upon termination, Clients remain responsible for all outstanding fees and costs. We will provide all completed work and relevant documentation upon full payment of all outstanding invoices.
Justivise Advisory Corp. maintains impartiality in all dispute resolution matters. We disclose any potential conflicts of interest at the outset of engagement. If a conflict cannot be adequately managed, we will decline the engagement or refer the matter to another qualified provider.
All materials, content, and intellectual property created by Justivise Advisory Corp., including written reports, frameworks, and methodologies, remain the property of the Company unless otherwise agreed in writing. Clients may use deliverables provided under engagement for their own purposes but may not reproduce, distribute, or resell such materials without explicit written consent.
Justivise Advisory Corp. complies with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada. We collect, use, and protect personal information in accordance with our Privacy Policy, available on our website.
By engaging our Services, you consent to the collection and processing of personal information necessary to provide Services and manage your engagement. All personal information is handled confidentially and not shared with third parties without consent, except where legally required.
Justivise Advisory Corp. reserves the right to modify these Terms at any time. Material changes will be communicated in writing to Clients with active engagements. Continued use of our Services following notification of changes constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
These Terms, together with any engagement letter, fee agreement, and confidentiality agreement, constitute the entire agreement between the parties regarding the provision of Services. Any prior negotiations, representations, or agreements are superseded and of no force or effect.
